  2.                        IBM EVALUATION AGREEMENT                                
  3.                                                                                
  4. This is a no charge Evaluation License ("License") between you and             
  5. International Business Machines Corporation ("IBM") for the evaluation         
  6. of IBM's software and related documentation. ("Program")                       
  7.                                                                                
  8. IBM grants you a non-exclusive, non-transferable license to the                
  9. Program only to enable you to evaluate the potential usefulness of the         
  10. Program to you.  You may not use the Program for any other purpose and         
  11. you may not distribute any part of it, either alone or with any of             
  12. your software products.                                                        
  13.                                                                                
  14. IBM retains ownership of the Program and any copies you make of it.            
  15. You may use the Program on one (1) machine only.                               
  16.                                                                                
  17. You may not decompile, disassemble or otherwise attempt to translate           
  18. or seek to gain access to the Program's source code.                           
  19.                                                                                
  20. The term of your License will be from the date of first installation  
  21. of the Program, and will terminate 60 days later, unless otherwise    
  22. specified.  THE PROGRAM WILL STOP FUNCTIONING WHEN THE LICENSE TERM   
  23. EXPIRES.  You should therefore take precautions to avoid any loss of  
  24. data that might result.  You must destroy and/or delete all copies you
  25. have made of the Program within ten (10) days of the expiry of your   
  26. License.                                                              
  27.                                                                       
  28. If you are interested in continuing to use the Program after the end           
  29. of your License, you must place an order for a full license to the             
  30. Program and pay the applicable license fee. In that event, your use of         
  31. the Program will be governed by the provisions of the applicable IBM           
  32. license for the Program.                                                       
  33.                                                                                
  34. IBM accepts no liability for damages you may suffer as a result of             
  35. your use of the Program.  In no event will IBM be liable for any indi-         
  36. rect, special or consequential damages, even if IBM has been advised           
  37. of the possibility of their occurrence.                                        
  38.                                                                                
  39. YOU UNDERSTAND THAT THE PROGRAM IS BEING PROVIDED TO YOU "AS IS",              
  40. WITHOUT ANY WARRANTIES (EXPRESS OR IMPLIED) WHATSOEVER, INCLUDING BUT          
  41. NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY,             
  42. PERFORMANCE OR FITNESS FOR ANY PARTICULAR PURPOSE. Some jurisdictions          
  43. do not allow the exclusion or limitation of warranties or consequen-           
  44. tial or incidental damages, so the above may not apply to you.                 
  45.                                                                                
  46. IBM may terminate your License at any time if you are in breach of any         
  47. of its terms.                                                                  
  48.                                                                                
  49. This License will be governed by and interpreted in accordance with            
  50. the laws of the State of New York.                                             
  51.                                                                                
  52. This License is the only understanding and agreement we have for your          
  53. use of the Program. It supersedes all other communications, under-             
  54. standings or agreements we may have had prior to this License.
